BATON ROUGE — Small business owners navigating the new Beneficial Ownership Information reporting requirement received a major update this week. A federal court order has temporarily halted the nationwide enforcement of the BOI reporting rule, suspending the January 1, 2025, compliance deadline until further notice.
On December 27, 2024, the U.S. Court of Appeals for the Fifth Circuit issued an injunction pausing the enforcement of provisions in the Corporate Transparency Act that mandate BOI filings. As a result, businesses classified as “reporting companies” are not currently required to submit a BOI Report or face penalties for non-compliance while the injunction remains in effect.
What Does This Mean for Business Owners?
The court’s decision offers temporary relief, especially for smaller businesses concerned about the administrative burden of compliance. This pause provides additional time to prepare for filing requirements as legal proceedings continue.
However, businesses still have the option to voluntarily file a BOI Report if they choose. The Financial Crimes Enforcement Network portal remains open for submissions, and businesses seeking to stay ahead of compliance requirements may opt to file preemptively.
The Legal Challenge
The injunction stems from ongoing legal challenges to the CTA, citing concerns about privacy risks, the potential misuse of sensitive ownership information, and the burden placed on smaller businesses. These challenges have delayed the rollout of the centralized beneficial ownership database intended to combat financial crimes such as money laundering and tax evasion.
The Department of the Treasury has announced plans to appeal the court order, leaving the ultimate outcome of the BOI reporting rule uncertain.

What if I already paid mine? How do i get a refund?
Considering that the Government slipped this by most small business owners, even though they have our information, I am glad someone took them to task. This will not stop or even slow down the money laundering or tax evasion….
I’m a brand new business owner as of July 2024 and this BOI stuff is SO confusing! Nobody to call! I thought I filled out everything correctly then received an “error” message.
